These Terms of Service ("Terms") govern access to and use of Ruqelo. By creating an account or using Ruqelo, you agree to these Terms, our Privacy Policy, and the Clinical Responsibility Commitment you accepted at signup.
1. Nature of Service — Software Tool Only
Ruqelo is a software tool that generates AI-assisted text outputs. Ruqelo is NOT a healthcare provider, does NOT practise medicine, does NOT provide medical, clinical, diagnostic, or treatment advice, and forms NO doctor-patient or professional-client relationship with any user or any patient. Ruqelo is a tool operated entirely at the discretion and under the sole professional judgment of the user, analogous to any general-purpose software application. The user is the sole and exclusive decision-maker for any clinical action.
2. Provided "As Is" — No Warranties
Ruqelo is provided strictly "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including but not limited to accuracy, completeness, reliability, fitness for a particular purpose, or merchantability. Ruqelo does not warrant that outputs are correct, current, or suitable for any clinical or professional use.
3. Assumption of Risk & Sole Responsibility
By using Ruqelo, the user — a licensed healthcare professional — expressly assumes all risk arising from use of the platform and its outputs. The user acknowledges that AI may produce errors, omissions, or fabricated information, and accepts sole and complete professional, clinical, and legal responsibility for reviewing, verifying, and acting upon any output. Reliance on any output without independent verification is undertaken solely at the user's own risk.
4. Professional Use Only & User Warranty
Use is restricted to licensed healthcare professionals. By using Ruqelo, the user warrants under penalty of account termination that they are a licensed clinician in good standing, that they completed the Clinical Responsibility Commitment at signup, and that they will use Ruqelo solely within their professional competence.
5. No Patient-Identifiable Data
Users must not enter protected health information or any patient-identifiable data. Ruqelo is not HIPAA-compliant and maintains no Business Associate Agreements. Any entry of such data is a breach of these Terms and is undertaken solely at the user's own risk and responsibility.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Ruqelo, its owners, directors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any clinical outcome, loss, injury, or damage of any kind arising from use of Ruqelo or its outputs. Ruqelo's total aggregate liability for any and all claims shall not exceed the total subscription fees paid by the user in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
7. Broad Indemnification
The user agrees to defend, indemnify, and hold harmless Ruqelo, its owners, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from or related to: (a) the user's use of Ruqelo or its outputs; (b) any clinical or professional decision made by the user; (c) the user's breach of these Terms; or (d) the user's entry of patient-identifiable data.
8. AI Infrastructure Disclosure
Ruqelo delivers AI-generated outputs through third-party computational inference services operating under contractual data protection obligations, including standard contractual clauses where applicable. Inputs are processed transiently and are not retained beyond what is necessary to generate an immediate response. Provided users comply with the prohibition on entering personally identifiable information, clinical inputs do not constitute personal data under applicable data protection law, and no further processing disclosure is required.
9. Not a Regulated Medical Device
Ruqelo is software that requires and relies upon independent clinician review of all outputs and does not replace clinical judgment. It is not intended to be, and does not meet the definition of, a regulated medical device under the FDA, MHRA, or any equivalent framework.
10. Binding Arbitration & Class Action Waiver
Any dispute arising from these Terms or use of Ruqelo shall be resolved exclusively through final and binding individual arbitration. Users waive any right to participate in a class, collective, or representative action. This does not prevent either party from seeking injunctive relief for intellectual property matters.
11. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.
12. Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and all remaining provisions shall remain in full force and effect.
13. Entire Agreement & Acknowledgment
These Terms, together with the Privacy Policy and the Clinical Responsibility Commitment accepted at signup, constitute the entire agreement. By creating an account, the user confirms they have read, understood, and agreed to all of the above.
